Filing evidence summary

Caution evidenceCoverage 5/5 core metrics

Latest reported annual revenue changed -6.4% from the prior reported annual observation.

Backward-looking filed evidence under visible rules - not a rating, forecast or investment advice. Missing data is never scored.

Evidence signals

  • Revenue contracted

Latest reported annual revenue changed -6.4% from the prior reported annual observation.

    Why this surfaced

Direction threshold: above +2% constructive; below -2% caution; otherwise monitor. This is not labeled one-year growth when filing periods have a gap. Period end 2024-12-31.

  • Operating margin compressed

Operating margin changed -36.2 percentage points from the prior annual period.

    Why this surfaced

Direction threshold: more than +1 percentage point constructive; below -1 point caution. Period end 2024-12-31.

  • Free cash flow was negative

Latest reported free cash flow was -$8M.

    Why this surfaced

Free cash flow = operating cash flow minus capital expenditures; positive is supporting evidence, not a valuation conclusion. Period end 2024-12-31.

  • Shareholders' equity was non-positive

Debt/equity is shown as not meaningful rather than as a negative leverage ratio.

    Why this surfaced

Same-period reported shareholders' equity was zero or negative; review the balance sheet and capital structure. Period end 2025-12-31.

Each filer's latest fiscal year as stored by the nightly crawl; fiscal year ends differ across the universe. A metric ranks only filers for which it is computable from filed facts. Ties split; a rank reads "better than N% of filers" in the metric's own direction. Descriptive and educational, not a rating.

Per fiscal year from filed facts: cash conversion = operating cash flow / net income (net income > 0); cash-flow accrual ratio = (net income - operating cash flow) / average total assets; balance-sheet accrual ratio = change in net operating assets / average net operating assets, NOA = (assets - cash) - (liabilities - debt). Descriptive; a missing input yields a missing ratio. High accrual ratios and cash conversion well below one are the measures the accruals literature associates with less persistent earnings; they are screens to read the cash-flow statement with, not conclusions. The per-year series is part of Pro risk analysis.

7 share-count periods re-presented for a stock split (1-for-5) are listed apart from restatements and not counted above.

First filing reporting each period vs the latest filing carrying it (10-K and 10-Q only, periods since 2020, the extractor's winning tag per concept); a change under 0.5% is treated as rounding; share counts re-presented by an integer split ratio are listed as split adjustments, not restatements. A change can be a restatement, a reclassification or a re-tagging in a later comparative column; the two filings are linked so the reader can see which. Descriptive, not a verdict.

NOTE 7. COMMITMENTS AND CONTINGENCIES Indemnification Agreements As permitted under Delaware law and in accordance with its bylaws, the Company indemnifies its officers and directors for certain events or occurrences while the officer or director is or was serving at the Companys request in such capacity. The term of the indemnification period is for the officers or directors lifetime. The maximum amount of potential future indemnification is unlimited; however, the Company has a director and officer insurance policy that limits its exposure and may enable it to recover a portion of any future payments. The Company believes the fair value of these indemnification agreements is minimal. Accordingly, it has not recorded any liabilities for these agreements as of December 31, 2025 or December 31, 2024. In the normal course of business, the Company provides indemnification of varying scope under its agreements with other entities, typically its suppliers and others, including in connection with capital raises transactions. Additionally, the Company provided for certain indemnification in conjunction with the Avenova Asset Divestiture (see Note 14, Avenova Asset Divestiture and Bridge Loan). Pursuant to these agreements, it generally indemnifies, holds harmless, and agrees to reimburse the indemnified parties for losses suffered or incurred by the indemnified parties in connection with the use or testing of its products or product candidates or with any U.S. patent or any copyrigh …

NOTE 7. COMMITMENTS AND CONTINGENCIES Indemnification Agreements In the normal course of business, the Company provides indemnification of varying scope under its agreements with other entities, including its service providers, vendors, and counterparties. Additionally, the Company provided for certain indemnification obligations in connection with the Avenova Asset Divestiture and PhaseOne Divestiture (see Note 13, Divestitures). The potential future payments the Company could be required to make under these indemnification agreements is unlimited; however, the Company maintains liability insurance policies that limit its exposure. As a result, the Company believes the fair value of these indemnification agreements is minimal. Accordingly, the Company has not recorded any liabilities for these agreements as of June 30, 2026 or December 31, 2025. Legal Matters From time to time, the Company is subject to various legal proceedings, as well as demands, claims and threatened litigation, which arise in the normal course of our business. The ultimate outcome of any litigation or other legal dispute is uncertain. When a loss related to a legal proceeding or claim is probable and reasonably estimable, the Company accrues its best estimate for the ultimate resolution of the matter. If one or more legal matters are resolved against the Company in a reporting period for an amount above expectations, the Companys financial condition and operating results for that period may be adversely …

"NOTE 14. INCOME TAXES The provision for income taxes is recorded at the end of each interim period based on the Company's best estimate of its effective income tax rate expected to be applicable for the full fiscal year, adjusted for any discrete items during the quarter. The Company has recorded an income tax (benefit) of $3.5 million and $0 for the three months ended June 30, 2026, and June 30, 2025, respectively. This resulted in a cumulative income tax benefit of $28 thousand for the six months ended June 30, 2026, and $0 for the six months ended June 30, 2025. The income tax provision for discontinued operations is presented separately in Note 13, ""Divestitures. The Company's effective income tax rate was approximately 7.8% for the three months ended June 30, 2026 and 0% for the three months ended June 30, 2025, and was 0% for both the six months ended June 30, 2026 and June 30, 2025. For both the three and six month 2026 periods, the effective rate differs from the statutory rate primarily due to warrant income that is not recognized for income tax purposes and the recording of a valuation allowance against the Company's deferred tax assets. The income tax benefit recognized in the three months ended June 30, 2026 substantially offsets an income tax expense recognized in the three months ended March 31, 2026, resulting in a de minimis net income tax benefit for the six month period. In accordance with ASC 740-270-30-18, the Company has determined that it is unable to …
